Nyaya Health Board of Directors Agreement
This agreement, between the board member and Nyaya Health, stipulates expectations for both parties during the period of his or her position on the Board of Directors. This is separate from any other titles or positions that the board member holds with Nyaya.
Functions of the Board of Directors
The overall function of the board of directors is two-fold:
- to ensure the smooth day-to-day operation of Nyaya Health so that it can raise the funds and provide the oversight needed for excellent patient care
- to continuously improve upon the overall vision and strategic direction of Nyaya Health Meetings
The entire board should ideally meet once a year in person and should have at least semi-annual video voice conference calls. The size of the board of directors will vary from 8-12 depending upon the specific functions and tasks required. The Board also conducts weekly voice conference calls with the Achham team, with whomever is available at that time.
Expectations
All board members are expected to:
- search out new partnerships, ideas, technologies, markets, and strategies
- respond promptly to other board members’ requests
- contribute to the wiki, blog, and evernote
- be honest about their time commitments and ability to meet tasks that they take on
- regularly email the team list about the progress of their work
- be present on at least one of the four weekly conference calls with the Achham team
Termination of Board Tenure
The period of board membership is for the duration specified in email agreement between the Executive Director (ED) and the board member. This duration may be extended depending upon discussions with the board. A board member will typically end their tenure voluntarily, by stating honestly that s/he no longer can make the time commitment necessary to remain on the board. If a board member is underperforming, other individual board members should air their concerns and discuss openly whether it is appropriate for that member to temporarily or permanently step down. It is the job of the ED to assess whether a board member has not been meeting his or her duties and request that s/he step down from the board.
Period of Board Service
The initial period of service is specified by agreement between the ED and the board member. The period of service may be extended at any time, but must be done within two months prior to the termination of the period of service specified above. The objective is that the board member remains committed and engaged with Nyaya Health in the long-term over the course of several years, either in the present capacity or in a new role.
Compensation
This is a volunteer position for which no compensation nor personal expenses are paid.
Finalizing the Agreement
This agreement will be finalized upon emailed agreement by the ED of Nyaya Health and the Board member.
